JVA stands for Joint venture agreement, a contract abbreviation.
Contract by which two or more parties combine resources for a specific business purpose while remaining separate businesses, setting out contributions, governance, profit sharing, intellectual property, exit rights and deadlock resolution. A joint venture may operate through a new company or purely by contract.
Example: Under the JVA, each partner appoints two directors and major decisions require unanimous approval.
Usage notes
When the venture uses a separate entity, the JVA usually works alongside a shareholders' or operating agreement. Deadlock mechanisms, such as escalation to senior executives or buy-sell "shotgun" clauses, are central because joint ventures often have equal owners. Joint ventures between competitors can raise antitrust concerns.
