MNDA stands for Mutual nondisclosure agreement, a contract abbreviation.
Two-way confidentiality agreement in which each party may both disclose and receive confidential information and each owes the same duties of secrecy and limited use. It is the usual form when companies explore a partnership, joint development or acquisition in which both will share sensitive material.
Example: Legal sent over our standard MNDA so both teams could share their product roadmaps.
Usage notes
Because both sides are bound equally, MNDAs tend to be more balanced and quicker to negotiate than one-way NDAs. Frequent negotiation points include residuals clauses, which let recipients use information retained in unaided memory, and non-solicitation of each other's employees. Standardized public forms aim to make the terms predictable across deals.
