MD&A stands for Management's discussion and analysis, an accounting abbreviation.
Section of a public company's annual and quarterly reports in which management explains results of operations, liquidity, capital resources, trends and known uncertainties in narrative form. It gives investors management's view of the numbers behind the financial statements.
Example: The MD&A attributes the margin decline to higher freight costs and an unfavorable product mix.
Usage notes
Required by Item 303 of SEC Regulation S-K in Forms 10-K and 10-Q. The SEC has repeatedly criticized boilerplate MD&A disclosure and modernized the rules in 2020. Canadian issuers also file an MD&A, while UK companies include a comparable strategic report.
