INED stands for Independent non-executive director, a job title abbreviation.
Non-executive board member who meets independence criteria, such as not having been an employee, major shareholder, significant supplier or long-serving director, and can therefore judge management without conflicts. Stock exchange rules and governance codes set the required number of INEDs.
Example: Hong Kong listing rules require INEDs to make up at least one-third of the board.
Usage notes
The abbreviation is especially common in Hong Kong, Singapore, Malaysia and India. Under the UK Corporate Governance Code, serving more than nine years on a board is one factor that may compromise a director's independence. Shareholders often vote against directors who no longer qualify as independent.
