SNDA stands for Subordination, non-disturbance and attornment agreement, a contract abbreviation also used in business.
Three-way agreement among a commercial tenant, its landlord and the landlord's lender. The tenant subordinates its lease to the mortgage, the lender promises not to disturb the tenant's possession after a foreclosure, and the tenant agrees to recognize a new owner as landlord.
Example: The anchor tenant refused to subordinate its lease without an SNDA from the bank.
Usage notes
Without non-disturbance protection, foreclosure of a senior mortgage could wipe out a subordinate lease. Lenders want SNDAs from major tenants because their leases support the property's value. Tenant estoppel certificates are often delivered at the same time.
